Welcome to ComLeads ("we", "us", "our"). By accessing or using our Telegram bot (operating under the name "ComLeads Permit Radar" or simply "Permit Radar"), our automated data aggregation software, our web platform, or our data (collectively, the "Software"), you ("User", "you", "your") agree to be bound by these Terms of Service (Terms of Software License). If you do not agree to these Terms, do not access or use our Software. By accepting these Terms or using the Software, you represent and warrant that you are at least 18 years of age and have the full legal authority to bind your business entity to this Agreement.
1. Description of Software & Open Government Records Shield
1.1 Data Aggregation SaaS: ComLeads is strictly an automated Software-as-a-Service (SaaS) platform that aggregates, cleans, normalizes, and indexes public open-data municipal commercial building permits. We do not operate as a marketing agency, contractor consulting firm, broker, or manual lead generation service. Our Software solely provides an automated interface and real-time alerts based on publicly available municipal government records published under municipal open-government frameworks.
1.2 Automated Permit Radar: Our Software delivers structured commercial permit alerts directly to users via the Telegram messenger platform.
1.3 Definition of a "Building Permit Alert": For the purposes of this Software, a "Building Permit Alert" (or "Commercial Construction Permit Alert") is strictly defined as an algorithmic alert regarding a newly filed or approved commercial building permit sourced from public municipal portals, matched with publicly available contact details for the associated General Contractor. A permit alert provided by ComLeads is NOT an exclusive invitation to bid, nor is it a guarantee of a contract, award, or project execution. It is an automated data alert intended to provide the User with an early-stage first-mover advantage.
1.4 Statutory Open Government Records Shield (FOIA & Texas Public Information Act): All commercial construction permit filings, project scopes, declared valuations, and contractor entities referenced in the Software are official public records maintained and published by municipal building inspection departments pursuant to the Texas Public Information Act (Texas Government Code Chapter 552), the federal Freedom of Information Act (5 U.S.C. § 552), and analogous state open records statutes. Commercial entities and contractors submitting permit applications to municipal departments acknowledge that such filings are matters of public record. ComLeads operates strictly as a passive search conduit, aggregator, and normalization technology provider.
2. Acceptable Use, Compliance & Regulatory Protections
2.1 Permitted B2B Use: You may use the data provided by the Software solely for your internal business-to-business (B2B) sales, subcontracting, and marketing operations. You agree not to resell, redistribute, sub-license, syndicate, or publicly post our aggregated data feeds.
2.2 Telemarketing & Communications Compliance (TCPA & CAN-SPAM): You acknowledge that ComLeads does NOT obtain or provide marketing opt-in consent from any individuals or entities whose public records are indexed. You assume 100% legal responsibility for complying with all applicable telemarketing, communications, and consumer protection laws, including but not limited to the Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227), the CAN-SPAM Act, and all applicable federal and state Do-Not-Call (DNC) registries. You agree to scrub all indexed phone numbers against the National Do-Not-Call Registry prior to initiating any telephone outreach.
2.3 Public Record Subject Opt-Out & Contact Correction Protocol: In accordance with commercial data ethics and state open records standards, any general contractor, commercial entity, or business representative whose contact information appears in a public commercial permit record may request data correction or suppression of direct contact details from future real-time alerts. To initiate an opt-out or correction, send an email to hello@comleads.net with the subject line "Public Record Correction / Opt-Out", specifying the company name, permit number, and contact details to be adjusted. Legitimate requests are processed in good faith within five (5) business days.
2.4 International Sanctions & Export Controls (OFAC Compliance): You represent and warrant that neither you nor any of your officers, directors, or affiliated business entities are: (a) listed on any United States Government list of prohibited or restricted parties, including the Specially Designated Nationals (SDN) list administered by the U.S. Department of the Treasury Office of Foreign Assets Control (OFAC); or (b) located in, organized under the laws of, or resident in any country or territory subject to comprehensive U.S. economic sanctions or embargoes. You agree not to access or use the Software in violation of any applicable U.S. export control or economic sanctions laws.
3. Fair Credit Reporting Act (FCRA) Notice
ComLeads is NOT a "Consumer Reporting Agency" as defined by the Fair Credit Reporting Act (FCRA, 15 U.S.C. § 1681 et seq.). You are strictly prohibited from using our data, in whole or in part, as a factor in determining a consumer's eligibility for credit, insurance, employment (Employment Screening), housing (Tenant Screening), or any other consumer-related purpose regulated under the FCRA.
4. Subscriptions, Free Trials, and Access Management
4.1 Merchant of Record (Lemon Squeezy): All subscription payments, renewals, invoicing, currency conversion, and applicable sales tax or VAT calculations are processed exclusively by our online reseller and Merchant of Record, Lemon Squeezy (LemonSqueezy.com / Lemon Squeezy, LLC). Our order process is conducted by Lemon Squeezy as our Merchant of Record, who handles all customer service inquiries and returns for our orders. All stated prices are inclusive of applicable sales taxes and fees.
4.2 Free Trial & Onboarding Preview:
- Instant Preview: Users receive three (3) free commercial permit alerts upon starting the bot (no credit card required).
- 5-Day Free Trial: When initiating a paid plan, users receive a full five (5) days of unrestricted service before their payment method is charged. You may cancel at any time during this 5-day trial period via your Customer Portal or inside the Telegram bot to prevent any charge.
4.3 Subscription Tiers, Limits & Fair Play:
- Base Tier ($49/month): Access for up to one (1) active Metro Location with all sub-locations therein, monitoring across all five (5) commercial trade specialties (HVAC, Plumbing, Electrical, Roofing, General Construction), with unlimited real-time alerts.
- Pro Tier ($99/month): Designed for multi-city commercial contractors. Access for up to three (3) active Metro Locations, monitoring across all five (5) commercial trade specialties, with unlimited real-time alerts.
- Subscription Pauses (Fair Play Policy): Subscription pauses via the Customer Portal are subject to fair-use limits of up to two (2) pauses per subscription year (12-month period). Any attempts to initiate pauses exceeding this limit will be automatically rejected to preserve standard billing renewal schedules.
4.4 Automated Location Pruning on Downgrade: If you downgrade from Pro to Base, your account will automatically be adjusted to the Base Tier limit of one (1) location, preserving your primary active market.
4.5 FTC "Click-to-Cancel" Transparency: Pursuant to Federal Trade Commission guidelines and Card Brand regulations, you maintain continuous, unconditional access to self-service cancellation tools. You may cancel your subscription at any hour of the day (24/7/365) with a single click via your Lemon Squeezy Customer Portal or directly in the Telegram bot without speaking to a representative.
5. Intellectual Property, Trademarks & Anti-Scraping Shield
5.1 Common Law Trademarks (Lanham Act § 43(a)): "ComLeads"™, the ComLeads logo, "ComLeads Permit Radar", "Permit Radar", and associated distinctive trade dress are common law trademarks and service marks of ComLeads protected under the federal Lanham Act (15 U.S.C. § 1125(a)) and applicable state trademark laws. Unauthorized commercial use of our trademarks, confusingly similar trade names, or branding is strictly prohibited.
5.2 Proprietary Compilation & Database Rights: While individual municipal building permits are public government records, the selection, coordination, arrangement, algorithmic normalization, enrichment, trade classification taxonomy, and presentation of the aggregated database constitute an original proprietary compilation protected under United States and international copyright, database protection, and trade secret laws.
5.3 Absolute Prohibition Against Scraping & Reverse Engineering: You are strictly prohibited from: (a) deploying automated scrapers, crawlers, spiders, bots, or extraction scripts against the Software, Telegram bot, or website; (b) reverse engineering, decompiling, disassembling, or creating derivative works of our algorithms, workflows, or data schemas; (c) framing, mirroring, or repackaging data feeds for commercial resale or syndication; or (d) circumventing trial limits or security safeguards. Any violation of this Section 5 constitutes willful copyright infringement, trademark infringement, and intentional breach of contract, entitling ComLeads to immediate injunctive relief (Injunctive Relief) in court without the necessity of posting a bond, in addition to statutory and actual damages.
6. Refund, Cancellation and Chargeback Dispute Policy
6.1 Cancellations: You may cancel your active subscription at any time with a single click via your Lemon Squeezy Customer Portal or directly inside the Telegram bot settings. Cancellation takes effect at the conclusion of your current paid billing period; no future recurring charges will be made.
6.2 Refund Policy: Detailed terms governing refunds and cancellations are set forth in our Refund and Cancellation Policy, which is incorporated into these Terms by reference. In alignment with our Merchant of Record (Lemon Squeezy), initial subscription charges are eligible for review within a five (5) day evaluation window following the end of the trial period in the event of proven technical defects, service inaccessibility, or erroneous duplicate billing.
6.3 Mandatory Pre-Dispute Communication: We are committed to resolving all billing inquiries fairly and rapidly. If you believe an erroneous charge has occurred, you agree to contact us first at hello@comleads.net and allow at least five (5) business days for investigation and amicable resolution before contacting your issuing bank or credit card provider.
6.4 Chargeback Dispute Fee Liability: Initiating a chargeback or payment dispute without prior good-faith communication or in bad faith (e.g., claiming non-delivery after actively accessing the Software) constitutes a material breach of this Agreement. In the event of a frivolous or fraudulent chargeback, ComLeads and Lemon Squeezy reserve the right to permanently terminate your account and hold you legally liable for all resulting payment dispute fees ($15.00 to $25.00 USD assessed by banking networks), administrative costs, and reasonable attorney's fees incurred in contesting the dispute.
7. Telegram Platform Dependency
Our Software is delivered via the Telegram messenger platform (Telegram LLC). ComLeads is not responsible for platform-level interruptions, maintenance, or connectivity issues originating from Telegram.
8. Disclaimers and Limitations of Data (AS-IS Basis)
8.1 Automated Processing: Our Software utilizes automated pipelines and proprietary algorithms to normalize unstructured public municipal records. While we strive for high reliability, automated systems may occasionally reflect errors present in the original municipal filings.
8.2 AS-IS Basis & Zero Contact Guarantee: The Software and all data are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. We explicitly do not guarantee the availability, accuracy, or completeness of direct phone numbers, email addresses, or named contacts for any given project. Municipal filings frequently omit contact details; the absence of contact information in a public record does not constitute a defect in the Software.
8.3 Project Valuations: All project valuations, declared valuations, and financial figures are algorithmic representations of values filed with municipal permitting offices. They are provided strictly for informational triage.
9. Limitation of Liability & Indemnification
9.1 WAIVER OF CONSEQUENTIAL DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMLEADS, ITS FOUNDERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY).
9.2 ABSOLUTE LIABILITY CAP: IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SOFTWARE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO COMLEADS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00 USD).
9.3 INDEMNIFICATION: You agree to defend, indemnify, and hold harmless ComLeads and its affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Software or data; (b) any communication or outreach initiated by you to contacts identified through the Software; (c) your violation of these Terms; or (d) your violation of any third-party rights, the TCPA, CAN-SPAM Act, or applicable privacy laws.
10. Mandatory Binding Arbitration, Texas Jurisdiction & Electronic Contracting
10.1 Governing Law: These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, United States, without giving effect to any principles of conflicts of law.
10.2 Enforceability of Electronic Contracting (E-SIGN Act & UETA): You explicitly agree that this Agreement and all related notices, disclosures, and communications may be executed, accepted, delivered, and stored electronically. Clicking any button labeled "I Agree", "Start Trial", "Subscribe", or initiating the Software via the Telegram bot constitutes an enforceable electronic signature under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA) as enacted in the State of Texas, having the identical legal force and effect as a handwritten paper signature.
10.3 Binding Individual Arbitration: PLEASE READ THIS SECTION CAREFULLY. You and ComLeads agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Software shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The arbitration shall take place in Austin, Travis County, Texas.
10.4 CLASS ACTION WAIVER & JURY TRIAL WAIVER: YOU AND COMLEADS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY.
11. Entire Agreement & Severability
These Terms of Service, together with our Privacy Policy and Refund and Cancellation Policy, constitute the complete and exclusive agreement between you and ComLeads regarding the Software. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
